These Terms and Conditions ("Terms") govern your access to and use of Billzy, a SaaS invoice tracking platform operated by Thicle Sarl-S, a company registered in Luxembourg.

By creating an account or using Billzy, you agree to be bound by these Terms. If you do not agree, you may not use our Service.

1. Definitions

"Service" refers to Billzy, the invoice tracking platform accessible at billzy.io and api.billzy.io
"User," "you," or "your" refers to any person or entity using the Service
"We," "us," or "our" refers to Thicle Sarl-S
"Content" refers to invoices, client data, and any information you submit to the Service
"Free Plan" refers to the free tier allowing up to 10 invoices
"Pro Plan" refers to the paid subscription tier allowing unlimited invoices

2. Acceptance of Terms

By accessing or using Billzy, you confirm that:

You are at least 18 years old or the age of majority in your jurisdiction
You have the legal capacity to enter into binding contracts
You will provide accurate, current, and complete information during registration
You will maintain the security of your account credentials
You accept our Privacy Policy

3. Account Registration

3.1 Account Creation

To use Billzy, you must create an account by providing:

Full name
Email address
Password

3.2 Account Security

You are responsible for:

Maintaining the confidentiality of your password
All activities that occur under your account
Notifying us immediately of any unauthorized access

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

You violate these Terms
You provide false or misleading information
Your account is inactive for more than 12 months
You engage in fraudulent or illegal activity
Payment for Pro Plan fails repeatedly

4. Service Plans and Pricing

4.1 Free Plan

Track up to 10 invoices
Access to all core features
No credit card required
No time limit

4.2 Pro Plan

Price: €19.00 per month (or equivalent in your currency)
Unlimited invoices
All features included
Priority support
Billed monthly via Stripe

4.3 Price Changes

We reserve the right to modify pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for 6 months before any price increase applies.

5. Payment Terms

5.1 Billing

Pro Plan subscriptions are billed monthly in advance
Payments are processed securely via Stripe, a PCI-DSS Level 1 certified payment processor
Base price: €19.00 per month
VAT/Tax: Applicable VAT will be automatically calculated and added at checkout based on your location using Stripe Tax
Billing Information: You will be asked to provide your billing address and optionally your VAT number (for EU business customers)
Payment Methods: Credit card, debit card, or any payment method supported by Stripe
Automatic Renewal: Your subscription automatically renews monthly until cancelled
Receipt: You will receive an email receipt for each payment processed

Important: We do NOT store your credit card information. All payment data is securely handled by Stripe.

5.2 Refunds

14-Day Money-Back Guarantee: We offer a full refund if you request it within 14 days of your first subscription payment, in accordance with GDPR's right of withdrawal (Article 49).

Refund Conditions:

Full refund: Within 14 days of first subscription payment
How to request: Via the "Request Refund" button in your dashboard settings or email info@billzy.io
Processing time: Refunds are processed within 48 hours
Refund method: Refunded to the original payment method via Stripe
Service access: Upon refund approval, your subscription will be immediately cancelled and your account will revert to the Free Plan

Additional Refund Scenarios:

Pro-rated refunds for service outages exceeding 24 hours
No refunds for partial months or unused services after the 14-day period
No refunds for subscription renewals (only applies to first subscription)

5.3 Failed Payments

If a payment fails:

We will retry payment 3 times over 7 days
You will be notified via email after each failed attempt
After 7 days, your account will be downgraded to the Free Plan
No data will be lost; invoices beyond 10 will be archived

5.4 Cancellation

You may cancel your Pro Plan subscription at any time
Cancellation takes effect at the end of the current billing period
No refunds for the remaining period after cancellation
Your account will automatically revert to the Free Plan

6. Use of Service

6.1 Permitted Use

You may use Billzy to:

Track invoices for your business or freelance work
Manage client information
Generate payment reminders
Calculate late fees
Predict cash flow

6.2 Prohibited Use

You may NOT:

Use the Service for illegal purposes
Upload malicious code, viruses, or harmful content
Attempt to gain unauthorized access to our systems
Reverse engineer, decompile, or disassemble the Service
Resell or redistribute the Service without authorization
Use automated bots or scrapers to extract data
Store or transmit infringing, libelous, or unlawful content
Impersonate another person or entity
Harass, abuse, or harm other users

7. Data and Privacy

7.1 Your Data

You retain all rights to the data you submit to Billzy. By using the Service, you grant us a limited license to:

Store and process your data to provide the Service
Display your data back to you in the application
Create anonymized, aggregated statistics (no personally identifiable information)

7.2 Data Processing

We process data in accordance with:

GDPR (General Data Protection Regulation)
Luxembourg data protection laws
Our Privacy Policy

7.3 Data Retention

Active accounts: Data retained indefinitely while account is active
Inactive accounts: Data retained for 24 months, then deleted
Deleted accounts: Data permanently deleted within 30 days
Backups: Backup copies may persist for up to 90 days

7.4 Data Export

You may export your data at any time in CSV or JSON format from your dashboard. We will also provide a data export within 30 days upon written request.

8. Intellectual Property

8.1 Our Intellectual Property

Billzy, including its design, code, features, and branding, is owned by Thicle Sarl-S. You may not:

Copy, modify, or distribute our code or design
Use our trademarks without permission
Create derivative works based on Billzy

8.2 Your Content

You retain ownership of all content you upload. You represent and warrant that:

You own or have the right to use all content you submit
Your content does not violate any third-party rights
Your content complies with all applicable laws

9. Service Availability

9.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted service. The Service may be unavailable due to:

Scheduled maintenance (with 24 hours' notice)
Emergency maintenance (without notice)
Third-party service outages (hosting, database, payment processor)
Force majeure events

9.2 Service Modifications

We reserve the right to:

Modify, update, or discontinue features at any time
Impose usage limits or restrictions
Change the Service's technical requirements

Major changes will be communicated via email or in-app notification.

10. Limitation of Liability

IMPORTANT: Please read this section carefully.

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of content

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THICLE SARL-S SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Costs of substitute services
Damages arising from use or inability to use the Service
Damages resulting from unauthorized access to your account

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

10.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability that cannot be limited under Luxembourg law

11. Indemnification

You agree to indemnify, defend, and hold harmless Thicle Sarl-S, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Your content or data

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

Using the account deletion feature in your dashboard settings

12.2 Termination by Us

We may terminate or suspend your account immediately if:

You breach these Terms
Your account poses a security risk
We are required to do so by law
You engage in fraudulent or abusive behavior

12.3 Effects of Termination

Upon termination:

Your access to the Service will be revoked immediately
You will have 30 days to export your data
We will delete your account and data within 30 days
No refunds will be issued for unused subscription time
Sections 7, 8, 10, 11, and 13 survive termination

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of Luxembourg, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Luxembourg.

13.3 Dispute Resolution

Before filing any legal action, you agree to:

Allow 30 days for good-faith negotiation
If unresolved, pursue mediation before litigation

14. Changes to Terms

We may update these Terms from time to time. Changes will be effective:

Immediately for non-material changes (e.g., clarifications, typos)
30 days after notification for material changes (e.g., pricing, liability)

We will notify you of material changes via:

Email to your registered address
In-app notification
Notice on our website

Your continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service and close your account.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thicle Sarl-S regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

15.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to any successor or affiliate.

15.5 Force Majeure

We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or internet infrastructure failures.

15.6 Language

These Terms are provided in English. Any translation is for convenience only. In case of conflict, the English version prevails.

BY CLICKING "I ACCEPT" OR BY USING BILLZY, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.
